1. Who we are and what these terms cover
These Terms and Conditions govern your use of backplate.net, including its information pages, contact form, Calendly booking feature, and links to email or WhatsApp. Backplate Inc., 22 South Field Falls, Monroe, New York 10950, operates the website. In these terms, “Backplate,” “we,” “us,” and “our” mean Backplate Inc.
These terms cover website use only. They are not a service agreement, do not create a client relationship, and do not promise that Backplate will provide services to a visitor. Paid bookkeeping services are governed only by a separate signed service agreement and its Order Form.
2. Website use
You may use the website for lawful business-information and contact purposes. If you use it for a business or another person, you represent that you have authority to do so. Do not use the website if you do not agree to these terms or the Privacy Policy.
You may not interfere with the website, bypass its security or rate limits, probe or scan for vulnerabilities without permission, introduce malicious code, impersonate another person, submit false or misleading information, scrape the website with automated tools without permission, or use the contact channels for spam, harassment, or unlawful conduct. We may restrict access or act to protect the website, our visitors, or others when reasonably necessary.
3. Informational content and services
Website content is general information. It is not tax, legal, investment, or other professional advice, and it is not a recommendation for your particular business. Do not make a filing, payment, lending, investment, employment, or other business decision based solely on this website. Consult advisers who understand your circumstances when needed.
Backplate provides bookkeeping services. Backplate is not a CPA firm and does not provide audit, review, compilation, assurance, tax preparation, tax-filing, payroll-processing, sales-tax-filing, legal, investment, or bill-payment services. Backplate does not move client money. A client remains responsible for its records, approvals, filings, payments, business decisions, and the use of reports provided under a signed service agreement.
Submitting a contact form, booking a meeting, sending an email or WhatsApp message, or receiving a response does not create a bookkeeping engagement or any accountant-client, fiduciary, or professional relationship. Services begin only after both parties sign a separate service agreement that identifies the client, scope, plan, price, and other applicable terms.
4. Plans, prices, and the free first month
The website advertises three monthly bookkeeping plans in U.S. dollars: Essentials at $499 per month, Growth at $999 per month, and Established at $1,999 per month. The website describes general features and limits for those plans. Actual scope, eligibility, availability, timing, price, payment terms, and plan limits are set by the signed service agreement and Order Form, which control if they differ from website information.
The advertised first-month-free offer is for new Backplate clients, limited to one free month per business. It requires a signed service agreement and access to the accounting system and accounts. It covers the selected plan’s normal monthly bookkeeping for the first calendar month that we close for the client. Catch-up or cleanup work is not included. If prior months are missing or unreconciled, Backplate will quote catch-up work as a fixed price before starting; the free month begins once the books are current enough to close.
Billing begins with month two at the selected plan’s monthly price, billed monthly in advance in U.S. dollars under the service agreement. Backplate will email a reminder at least seven days before the first paid month. A client that cancels by email before month two starts owes nothing for the free first month. After that, cancellation requires 30 days’ written notice by email, with no long-term contract and no cancellation fee. The website does not process payments or collect payment-card details.
If work would exceed a plan limit, Backplate will give notice before anything changes. The client may move to another plan or accept a written quote for additional work. There are no automatic overage charges. A catch-up project, extra entity, or other excluded work requires a separate written quote or agreement.
5. Third-party services
The website links to or embeds Calendly for scheduling, Google Meet for introductory meetings, and WhatsApp for messages. These are independent third-party services. Your use of them is subject to their own terms and privacy practices. A link or integration does not mean Backplate controls, endorses, or guarantees the third party’s service, availability, content, security, or data practices.
Use email, the contact form, or WhatsApp only for ordinary inquiries. These channels are not for urgent, emergency, security-critical, payment, or time-sensitive instructions. Do not send Social Security numbers, bank logins or passwords, or tax documents through the form, email, or WhatsApp.
6. Intellectual property
The website’s text, design, graphics, logos, and other content are owned by or licensed to Backplate and are protected by applicable intellectual-property laws. You may view or download public materials for your internal evaluation of Backplate’s services. You may not copy, republish, sell, license, modify, frame, commercially exploit, or use Backplate’s content or marks without our prior written permission, except as applicable law permits.
7. Disclaimers
We aim to keep the website useful and accurate, but content may change, be incomplete, contain errors, or be unavailable. To the fullest extent permitted by law, the website and its content are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, or freedom from harmful components. We do not promise a particular financial, tax, business, or other outcome.
Nothing in these terms disclaims a right or liability that cannot lawfully be disclaimed. A signed service agreement may contain service-specific terms, and those terms govern the client engagement.
8. Limitation of liability for website use
To the fullest extent permitted by law, Backplate and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising from or relating to use of, or inability to use, the public website.
To the fullest extent permitted by law, Backplate’s total liability for a claim arising from these website terms or the public website will not exceed $100. This limitation applies only to website use, not to a liability standard in a signed service agreement. Nothing in this section limits liability that cannot lawfully be limited, including liability resulting from Backplate’s gross negligence or willful misconduct.
9. Governing law and venue
These website terms are governed by New York law, without regard to conflict-of-law rules, except where another law must apply. Any dispute arising from these terms or the public website must be brought in the state courts situated in Orange County, New York, or, when federal jurisdiction exists, the United States District Court for the Southern District of New York. Each party consents to the applicable court’s jurisdiction and venue. A signed service agreement controls any dispute-resolution provision for the services it covers.
10. Changes to these terms
We may update these terms as the website, services, practices, or law changes. We will post the updated terms on this page and change the effective date. If a change is material, we will highlight the change on this page and provide any additional notice required by law. If any provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law.
